Aperture Terms of Service

Aperture is a booking, front desk and workflow platform for medical imaging clinics, operated by Radly ("we", "us"). These terms are an agreement between Radly and the clinic that subscribes to Aperture ("the clinic", "you"). They apply to Aperture only - they are separate from, and do not change, the terms that govern the Radly patient marketplace at radly.com.au.
1. The service
Aperture provides appointment scheduling, online bookings, patient records, referral management, worklists, reporting workflow, patient messaging (SMS and email), billing summaries and related tools for imaging clinics. We host and maintain the platform; you use it through a web browser. We may improve or change features over time, and will not remove core functionality you rely on without reasonable notice.
2. Your responsibilities
- You are the health service provider. Aperture is administrative software - it does not provide clinical advice, and all clinical decisions, screening judgments and reports remain the responsibility of your practitioners.
- You control who has access. Staff accounts, roles and sign-in numbers are managed by your owners and managers. Keep them accurate, remove staff who leave, and don't share logins.
- You are responsible for the accuracy of the information you publish through Aperture (available times, prices, preparation instructions) and for confirming or declining online booking requests promptly.
- You must have a lawful basis to enter patient information into Aperture and must comply with the Privacy Act 1988 (Cth), the Australian Privacy Principles and any state health records legislation that applies to your practice.
3. Patient data
Your patient data stays yours. We host and process it on your behalf so the platform works, as described in the Aperture Privacy Policy. Each clinic's data is isolated from every other clinic's. On termination you can request a full export of your patient, appointment and report data in a standard format, and we will provide it within 30 days.
4. Fees
Aperture is offered on a trial or a monthly subscription per location, as agreed with you in writing. Fees are billed in Australian dollars. We will give at least 30 days notice before any price change takes effect. If an invoice is unpaid well past its due date we may suspend access after notice, but we will never withhold an export of your own data.
5. Acceptable use
Don't use Aperture to send spam, to store data unrelated to running your clinic, to probe or overload the service, or to infringe anyone's rights. Patient messaging exists for appointment communications - confirmations, reminders, preparation and results notifications - not marketing without consent.
6. Availability and support
We aim to keep Aperture available at all times and host it in Australia, but no software is perfect and outages can happen. We take backups and will restore service as quickly as we can. Support is available at support@radly.com.au. Keep your own processes for extended outages, as any prudent practice does.
7. Liability
Nothing in these terms excludes rights you have under the Australian Consumer Law. To the extent permitted by law, our liability for any claim connected with Aperture is limited to resupplying the service or refunding the fees you paid in the 3 months before the event giving rise to the claim, and we are not liable for indirect or consequential loss. We are not liable for clinical outcomes, missed diagnoses or decisions made by your practitioners.
8. Termination
You can cancel at any time with 30 days notice, and your subscription ends at the close of the billing period. We can terminate for material breach that isn't fixed within 14 days of notice. After termination we retain your data for 90 days for export, then delete it from production systems (backups age out on their normal cycle).
9. Changes and governing law
If we update these terms we will notify the clinic's owner by email at least 14 days before changes take effect. Continued use after that date is acceptance. These terms are governed by the laws of Victoria, Australia.
